PRIVACY POLICY

This Privacy Policy describes how "Shramify" ("we," "us," or "our") collects, uses, processes, and discloses your information when you access or use our mobile application and website (collectively, the "Platform") and the services offered through it.

The Platform is an online directory and search tool that facilitates the connection between users seeking construction-related services, labour, and materials and independent service providers offering such services, labour, and materials.

By accessing or using our Platform or services, you signify your acceptance of this Privacy Policy. This Privacy Policy does not require any physical or digital signature to become legally binding.

The terms of this Privacy Policy become effective immediately upon your use of the Platform. If you do not agree with any part of this Privacy Policy, you should not access or use our Platform or services.

This Privacy Policy is published in compliance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and other applicable laws in India.

By using the Platform, you expressly consent to the collection, storage, processing, sharing, and disclosure of your information in accordance with this Privacy Policy.

Nature of Services

The Platform is a technology-based intermediary marketplace that facilitates interactions between users seeking construction-related services, labour, or materials and independent third-party service providers.

Shramify does not directly provide construction services, labour, materials, contracting services, or employ service providers.

The Company's role is limited to enabling discovery, communication, listings, and facilitating transactions between users and independent service providers.

Any agreement, contract, payment, dispute, quality of work, timelines, warranties, or liabilities arising from services are solely between the concerned User and the Service Provider unless expressly stated otherwise.

1. INFORMATION WE COLLECT

We collect various categories of information to provide, improve, secure and maintain our Platform and services. This may include Personal Information, Sensitive Personal Data or Information (SPDI), and Non-Personal Information.

1.1 Information You Provide to Us

When you register, create a profile, communicate with us, request services, or use any feature of the Platform, you may provide the following information:

  • 1.1(a) Contact Information: Your name, email address, phone number, postal address, and other similar contact data.
  • 1.1(b) Profile Information: If you are a service provider, this may include your business name, trade license details, professional qualifications, skills, experience, photographs, and other details relevant to your services. If you are a user, this may include your project requirements and preferences.
  • 1.1(c) Identity Information: For verification purposes, we may collect government-issued identification numbers (such as Aadhaar Number, PAN, GSTIN) or other identity documents. This constitutes Sensitive Personal Data or Information (SPDI) under the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
  • 1.1(d) Financial Information: Bank account details, UPI IDs, or other payment instrument details used for processing transactions. This also constitutes SPDI.
  • 1.1(e) Communications: Information you provide while communicating with us, other users or service providers through the Platform, including messages, reviews and feedback.
  • 1.1(f) Other Information: Any additional information voluntarily provided by you.

1.2 Information We Collect Automatically

When you access or use our Platform, we may automatically collect certain information about your device, usage patterns and browsing activities.

  • 1.2(a) Usage Information: Details regarding your access to and use of the Platform, including traffic data, logs, communication data, resources accessed, search activity and user behaviour.
  • 1.2(b) Device Information: Information about your mobile device and internet connection including unique device identifiers, IP address, operating system, browser type, mobile network information and device phone number.
  • 1.2(c) Location Information: With your explicit permission, we may collect real-time location information to provide location-based services such as finding nearby labour, contractors or materials.
  • 1.2(d) Cookies and Tracking Technologies: We may use cookies, web beacons and similar technologies to understand browsing activities, remember preferences and improve user experience.
  • 1.2(e) Information from Third Parties: We may receive information from third-party services, business partners, social media platforms, publicly available sources or through reviews, referrals and feedback where permitted by law or authorized by you.

2. HOW WE USE YOUR INFORMATION

We use the information we collect for the following purposes:

  • 2(a) To Provide and Maintain Our Services: To operate, maintain and provide all features of the Platform, including facilitating connections between users and service providers, processing service requests and managing user accounts.
  • 2(b) To Improve and Personalize Services: To understand how you use the Platform, improve existing functionality, develop new features and personalize your experience.
  • 2(c) To Communicate With You: To send service-related notifications, updates, security alerts and support messages. We may also send promotional communications regarding our services or partner services, from which you may opt out. The application may initiate phone calls to numbers displayed within service provider profiles using your device's default dialer. The Platform does not access your call history, phone state or record calls.
  • 2(d) For Security and Fraud Prevention: To detect, prevent and investigate fraud, unauthorized access, abuse, security incidents, illegal activities and protect the rights, property and safety of Shramify, our users and the public.
  • 2(e) For Legal Compliance: To comply with applicable laws, legal obligations, governmental requests, resolve disputes and enforce our agreements.
  • 2(f) For Analytics and Research: To perform analytics, research and reporting that helps improve Platform performance, user experience and service offerings.
  • 2(g) To Facilitate Transactions: To process subscription payments, listing fees, lead generation charges and other Platform-related transactions.

3. HOW WE SHARE YOUR INFORMATION

We may share your information with third parties only under the circumstances described below.

  • 3(a) With Other Users and Service Providers: We may share relevant profile information, contact details and service-related information where necessary to facilitate communication, service requests or enquiries between users and service providers.
  • 3(b) With Our Service Providers: We engage trusted third-party service providers to perform services on our behalf, including payment processing, cloud storage, analytics, customer support, marketing and technical maintenance. These providers receive only the information necessary to perform their services and are contractually obligated to protect it.
  • 3(c) For Legal Reasons: We may disclose information when required by applicable law or where disclosure is necessary to comply with legal obligations, court orders, government requests, law enforcement investigations, protect our legal rights, prevent fraud, investigate wrongdoing, or protect the safety of users or the public.
  • 3(d) Business Transfers: If Shramify undergoes a merger, acquisition, restructuring, sale of assets, investment, or transfer of business, user information may be transferred to the new entity, subject to this Privacy Policy.
  • 3(e) Children's Information: We do not knowingly solicit or collect personal information from children under 16 years of age. Use of the Platform is available only to persons capable of entering legally binding contracts under the Indian Contract Act, 1872. Users below 18 years of age should use the Platform only under the supervision of a parent, legal guardian or responsible adult. If we become aware that such information has been collected, it will be deleted promptly.

Cloud Storage

Our application stores and processes user data using secure cloud-based infrastructure. Your information may be transferred, stored and processed on servers operated by trusted third-party cloud providers. Authorized providers may have limited access to information solely for maintenance, security and legal compliance purposes.

Shramify shall not be liable for unauthorized access, data breaches, loss, or disclosure resulting from circumstances beyond its reasonable control, including cyberattacks, network failures, system vulnerabilities, or failures of third-party service providers.


USER AGREEMENT

This User Agreement ("Agreement") is entered into between Shramify, a company incorporated under the applicable laws of India, and the individual or entity accessing or using the Platform. By accessing or using the Platform, the User agrees to be legally bound by the following terms and conditions.

1. Eligibility

The User represents and warrants that he or she is competent to contract under the provisions of the Indian Contract Act, 1872 and has attained the age of majority.

2. User Obligations

The User agrees to provide true, accurate and complete information at all times and shall not use the Platform for any unlawful, fraudulent or prohibited purpose.

The User acknowledges that all engagements, communications and transactions with service providers are undertaken solely at the User's own discretion and risk.

3. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Shramify expressly disclaims all representations, warranties and guarantees regarding:

  • Quality of services.
  • Reliability of service providers.
  • Availability of listings.
  • Suitability of services.
  • Legality of services offered.
  • Accuracy of listings or profiles.

4. Limitation of Liability

To the maximum extent permitted under applicable law, the Company shall not be liable for any:

  • Direct damages
  • Indirect damages
  • Incidental damages
  • Special damages
  • Consequential damages
  • Punitive damages
  • Loss of profits
  • Loss of data
  • Business interruption

arising from use of the Platform or services obtained through it.

5. Indemnity

The User agrees to indemnify and hold harmless Shramify, its directors, employees, officers, affiliates, successors and representatives against all claims, liabilities, losses, damages, expenses, legal costs and proceedings arising from:

  • Breach of this Agreement.
  • Violation of applicable laws.
  • Violation of third-party rights.
  • Disputes with service providers.
  • Misuse of the Platform.

6. Approval / Rejection of Listings

The Company reserves the right to approve, reject, suspend, remove, modify or permanently delete any listing, profile or content submitted by any service provider.

Listings may be rejected if they contain:

  • Incorrect information.
  • False claims.
  • Misleading descriptions.
  • Illegal content.
  • Policy violations.
  • Information capable of harming users.

The Company may remove any content that violates applicable law, Platform policies or Terms of Service.

7. Suspension and Termination

The Company reserves the right to suspend, restrict or terminate any User account, with or without prior notice, if the User violates this Agreement, applicable law or Platform policies.

8. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Subject to the Arbitration Clause, Courts situated at Kolhapur shall have exclusive jurisdiction.

9. Arbitration

Any dispute, controversy, claim or disagreement arising from this Agreement, including interpretation, validity, performance, breach or termination, shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

Arbitration shall be conducted by a Sole Arbitrator appointed by the Company.

The seat and venue of arbitration shall be Kolhapur.

Proceedings shall be conducted in English or any local language as determined by the Arbitrator.

The arbitral award shall be final and binding upon all parties.


SERVICE PROVIDER AGREEMENT

This Service Provider Agreement is entered into between Shramify and every individual or business entity registering as a Service Provider on the Platform. By registering, listing services, or accepting enquiries, the Provider agrees to all terms contained herein.

1. Independent Contractor Relationship

The Provider is engaged strictly as an independent contractor. Nothing contained in this Agreement shall be interpreted as creating an employer-employee relationship, partnership, agency, joint venture or any other legal association between the Company and the Provider.

2. Scope of Services

The Provider agrees to list and offer services on the Platform and shall be solely responsible for the execution, quality, pricing, completion and delivery of those services.

The Company merely facilitates discovery and communication between Users and Providers and shall not supervise, inspect or guarantee any services rendered.

3. Compliance with Law

The Provider shall comply with all applicable laws, regulations, registrations, licences, labour laws, taxation requirements and statutory obligations while providing services.

Any non-compliance shall be the sole responsibility of the Provider.

4. Fees and Charges

The Company reserves the right to charge listing fees, subscription charges, commissions, lead generation fees or any other applicable Platform charges.

Unless expressly stated otherwise, all payments made to the Company are non-refundable.

5. Non-Circumvention

Providers shall not intentionally bypass the Platform to directly engage with Users introduced through Shramify for the purpose of avoiding Platform fees, subscriptions or commissions.

Such conduct shall constitute a material breach of this Agreement and may result in suspension, termination and legal action.

6. Liability

The Provider shall remain solely liable for all work performed, products supplied, delays, deficiencies, misconduct, negligence, statutory violations, consumer complaints, damages or injuries arising from services rendered.

The Platform acts solely as an intermediary and bears no responsibility for services delivered by Providers.

The Company does not guarantee:

  • Quality of services.
  • Legality of services.
  • Suitability of services.
  • Availability of Providers.
  • Successful completion of projects.

The Company is not responsible for:

  • Disputes between Users and Providers.
  • Delay in service delivery.
  • Deficiency in services.
  • Fraud or negligence by Providers.
  • Loss, injury or damages arising from services.

7. Indemnity

The Provider agrees to indemnify, defend and hold harmless Shramify, its directors, employees, affiliates, officers, successors and representatives against all claims, losses, damages, liabilities, proceedings, penalties, expenses and legal costs arising from:

  • Use of the Platform.
  • Breach of this Agreement.
  • Violation of applicable laws.
  • Consumer complaints.
  • Disputes with Users.
  • Services rendered by the Provider.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Company's total liability shall never exceed the amount actually paid by the Provider for use of the Platform.
  • The Company shall not be liable for indirect, incidental, consequential, exemplary, punitive or special damages.

9. Role as Intermediary

Shramify functions solely as an intermediary technology platform.

  • We do not employ service providers.
  • We do not supervise, inspect or verify services.
  • We do not guarantee the quality, legality or suitability of services listed.
  • We merely facilitate discovery and communication between Users and Providers.
  • Safe harbour protections available under applicable law shall apply to the fullest extent permitted.

10. Grievance Redressal Mechanism

In compliance with the Information Technology Act, 2000 and applicable rules, users may contact the Grievance Officer for complaints regarding the Platform.

  • Resolution will normally be provided within 15 days.

11. Consent

By accessing or using the Platform you:

  • Consent to the collection, processing and sharing of your information.
  • Agree to this Privacy Policy.
  • Confirm that the information you provide is true and accurate.

12. Withdrawal of Consent

You may withdraw your consent at any time by writing to the Grievance Officer.

Withdrawal of consent may:

  • Limit your access to Platform services.
  • Result in suspension of your account.

13. Governing Law & Jurisdiction

This Policy shall be governed by the laws of India.

Subject to the Arbitration provisions, Courts situated at Kolhapur shall have exclusive jurisdiction.

14. Changes to this Policy

We reserve the right to modify, update or replace this Policy at any time without prior notice.

  • Updated versions will be published on the Platform.
  • Continued use of the Platform constitutes acceptance of the revised Policy.

15. Suspension and Termination

The Company may suspend or terminate any Provider account without prior notice where it detects breach of this Agreement, illegal activity, spam, malware, fraud or any conduct that may adversely affect the Platform or its users.

The Company may also report unlawful activities to the appropriate authorities whenever required by law.

16. Arbitration

All disputes arising out of this Agreement shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Kolhapur, and proceedings shall be conducted before a Sole Arbitrator appointed by the Company.


TERMS OF USE

These Terms govern access to and use of the Platform.

The Company grants you a limited, revocable, non-exclusive licence to access and use the Platform strictly in accordance with these Terms. All intellectual property rights including software, content, trademarks, logos and design remain the exclusive property of the Company.

Users shall not copy, reproduce, distribute, modify, reverse engineer or exploit any part of the Platform without prior written permission.

The Company reserves the right to modify, suspend or discontinue any feature of the Platform without liability.

The Company does not guarantee uninterrupted, secure or error-free operation of the Platform and shall not be liable for technical failures, downtime or maintenance interruptions.


REFUND & CANCELLATION POLICY

The Platform operates as a lead generation, listing and subscription service.

Payments made towards subscriptions, premium listings, commissions, lead purchases or similar services are final and non-refundable, except in cases of duplicate payment or technical errors resulting in incorrect deductions.

The Company shall not be responsible for refunds arising from dissatisfaction with services provided by independent service providers.

Users agree not to initiate chargebacks without first contacting the Company. Fraudulent chargebacks may result in suspension of services and legal action.


ESCROW / PAYMENT TERMS

1. Nature of Payment Role

The Company may facilitate payments between Users and Providers, but shall not be deemed a party to the underlying transaction.

2. No Liability for Transactions

The Company shall not be responsible for payment failures, fraudulent transactions, banking issues, UPI failures, or disputes arising between Users and Providers.

3. Escrow Services (Where Applicable)

Where escrow functionality is available, the Company may temporarily hold funds until completion of services or expiry of the applicable release period.

The Company's role remains limited to facilitation and shall not be interpreted as assuming responsibility for service delivery.

4. Escrow Disputes

In the event of a dispute, the Company may assist the parties in reaching an amicable resolution.

Any decision made by the Company during such facilitation shall not constitute a judicial determination, and either party remains free to pursue legal remedies available under applicable law.
